Michelle K. Suarez, Esq.

Michelle was born in Miami, Florida to Cuban American parents who taught her the value of hard work, passion, and honesty at an early age. Michelle has several years of litigation experience in business and complex commercial litigation including non-competes, trade secret, fiduciary duty claims, vicarious liability defense on behalf of corporations, various business disputes and commercial construction. 

On the transactional side, Michelle has helped negotiate several investment deals and buy-outs for multi-million-dollar valued companies in the technology and insurance sector, and regularly advises companies in various emerging industries. Her transactional experience includes negotiating sales/acquisitions, capital raises (under Regulation D), structuring partnerships, negotiating & successfully resolving business disputes among members and shareholders outside of litigation, advising companies on Regulation D compliance, acting as outside general counsel to businesses in various industries, advising franchises, and much more. Most recently, Michelle represented one of her clients in negotiating and consummating the sale of a substantial amount of the business which was acquired for just under $50M. Additionally, she recently helped resolve a two year dispute among shareholders involving multiple entities in multiple jurisdictions, allowing her client to sell his shares back to the Company for just under half a million dollars, and saved her client hundreds of thousands of dollars in litigation costs. She regularly represents service professionals including engineers, medical professionals, and lawyers, and has clients in a wide array of industries including motor carrier brokerages, e-commerce, technology, health care, real estate development, and retail. 

Michelle’s hobbies include kayaking, exercising, and finding great hole-in-the-wall restaurants in new cities during her travels. She spends most of her time in sunny South Florida with her wife, and their two daughters.
